Reorganization / Restructuring / Carve-out

  • Tax assistance in the execution of mergers, spin-offs or partial asset contributions
  • Assistance in carving-out a complete and autonomous branch of activity
  • Support for the drafting of partial asset contribution agreements or merger treaties or for their review
  • Tax assistance for the preparation of certification applications (benefit of the tax neutral merger regime, partial asset contributions under favorable regime, deficit transfers, etc.)
  • Assistance in preparing and filing tax declarations
  • Tax treatment of reclassifications, capital-related operations, debt reassignment, assistance in drafting or reviewing intragroup contracts

Transformation plans

  • Execution of tax diagnostics in connection with the business model / value chain in order to identify the strengths, weaknesses, opportunities and risks associated with the business model and the cash flow structure in place, as well as identify the assets and strategic functions within the value chain, value chain transformation proposals
  • Guidance of management in defining the transformation road map (fiscal timing notably)
